1. Acknowledgment
These Terms of Service govern the use of www.neaudio.com.hk (the “Service”) and the agreement that operates between You and New Energy Audio & Lighting Limited (the “Company”, “We”, “Us”, “Our”). These Terms set out the rights and obligations of all users and Buyers regarding the purchase of Goods and use of the Service. Together with the Payment & Refund Policy and the Privacy Policy, these Terms form the entire agreement between You and Us for the purchase of Goods.
2. Definitions
• Company (“We”, “Us”, “Our”) : New Energy Audio & Lighting Limited.
• Buyer (“You”) : the individual or entity purchasing Goods through the Service.
• Goods : the products offered for sale on www.neaudio.com.hk.
• Service : the website www.neaudio.com.hk.
• Carriers : third-party shipping, courier and logistics providers, including but not limited to SF Express, GogoX, Lalamove, DHL, FedEx, UPS, freight drivers or consolidation warehouse operators, and including any carrier You arrange yourself.
• Order : a confirmed request by You to purchase Goods from Us.
3. Order Acceptance, Scope of Contract and Stock Availability
3.1 Scope of contract :
The sales contract includes only the Goods and services listed in the order confirmation (or the Company’s quotation).
3.2 Buyer’s terms excluded :
Unless We agree in writing, terms stated in Your purchase order or other documents do not apply to the sale.
3.3 Order review and cancellation :
We reserve the right to review, limit or cancel Your Order at any time for operational reasons, including but not limited to:
• Goods availability : unexpected stock shortages, factory discontinuations, production halts or supply chain disruptions;
• Pricing and description errors : typographical errors, incorrect specifications or pricing mistakes on the Service;
• Transaction security : unauthorized, fraudulent or unverified transaction activity.
3.4 Limitation of liability on cancellation :
If We cancel an Order because of supply issues, Our sole liability is strictly limited to a full refund of the purchase price of the Goods paid. Additional fees arising from third-party payment methods are not refundable (see Section 3.4 of the Payment & Refund Policy).
4. Product Specifications and Technical Installation
4.1 Supply-only basis :
Unless explicitly agreed in writing, all Goods sold via the Service are on a “supply-only” basis and do not include site installation, technical setup, field testing or system commissioning.
4.2 Power and technical requirements :
The Buyer is solely responsible for ensuring that the site environment, power supply voltage and technical setup comply with the Goods’ operational specifications.
4.3 Product images :
Product photos displayed on the Service are for visual reference. Actual packaging, casing details or batch updates from original manufacturers may vary slightly.
5. Third-Party Websites and External Links
5.1 No control :
The Company has no control over, and assumes no responsibility for, the content, privacy policies, product specifications or practices of any third-party websites or manufacturer portals linked on our Service.
5.2 No liability :
You acknowledge and agree that the Company is not responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by reliance on third-party content or services.
6. Handover, Pre-Shipment Video and Risk Management
6.1 Pick-up :
You may collect Orders at Our Hong Kong office/warehouse upon advance appointment. Goods must be inspected on-site upon collection.
6.2 Pre-shipment video evidence :
To ensure quality control, the Company inspects and records video/photo proof of all Goods showing flawless physical condition and secure sealing before handing them to any Carrier. Such documentation serves as conclusive proof of perfect fulfillment by the Company.
6.3 Local delivery and risk transfer :
Pursuant to Section 34 of the Sale of Goods Ordinance (Cap. 26 of Hong Kong Laws), delivery of Goods to any Carrier (including a carrier You arrange yourself) constitutes final delivery to the Buyer. All risks of transit loss, physical damage or delay pass to You immediately upon handover. Transit damage claims must be pursued directly with the Carrier using Our pre-shipment video proof.
6.4 Delivery details and delays :
You must provide accurate delivery addresses and contact details. We are not responsible for delays caused by incorrect information, or by factors beyond Our control such as Carriers or weather.
6.5 International orders (EXW terms) :
All international transactions are executed strictly under EXW (Ex Works – Hong Kong Premises) terms. Overseas Buyers must independently arrange international couriers for collection at Our premises or request local transfer to a Hong Kong consolidation depot. Import tariffs, VAT/GST and customs clearance procedures are the sole responsibility of the Buyer.
7. Lead Times and Schedule Adjustments
7.1 Schedule adjustment :
The Company retains the right to adjust delivery timelines and schedules. Factory production delays, shipping disruptions or customs holds do not constitute a breach of contract or grounds for Order cancellation.
7.2 Estimated lead times :
Communicated lead times for pre-ordered, customized or OEM equipment are non-fixed estimates only (time is NOT of the essence).
7.3 Force majeure :
We are not liable for any delay or failure to perform caused by natural disasters, typhoons, black rainstorms, fire, flood, accidents, riots, war, government measures, embargoes, strikes, supply chain disruption or other causes beyond Our reasonable control. Where supply is limited, We may allocate sales and delivery quantities on a reasonable basis.
8. Limit of Liability and Remedies
8.1 Liability cap :
To the maximum extent permitted by law, the Company’s total aggregate liability for any claim is strictly limited to the actual purchase price paid for the specific Goods.
8.2 Exclusion of commercial losses :
Under no circumstances is the Company liable for any indirect, incidental or consequential damages, including loss of business profits, event cancellation fees, rental losses or operational disruptions.
9. Intellectual Property
The text, images, logos and other content on the Service belong to the Company or its licensors. They may not be copied, republished or used commercially without Our written consent. Third-party brands and trademarks belong to their respective owners.
10. Order of Precedence
If these Terms conflict with the Payment & Refund Policy on payment, refund or exchange matters, the Payment & Refund Policy prevails. On the handling of personal data, the Privacy Policy prevails. On all other matters, these Terms prevail.
11. Changes to these Terms
We reserve the right to amend these Terms at any time without separate notice. Amendments take effect when the updated Terms are published on the Service. Your order is governed by the version published on the Service at the time You confirm it.
12. Governing Law, Language and Severability
These Terms are governed by the laws of the Hong Kong Special Administrative Region, and the Hong Kong courts have exclusive jurisdiction. If the Chinese and English versions conflict, the English version prevails. If any provision of these Terms is held invalid or unenforceable, the remaining provisions continue in effect. Our failure to strictly enforce these Terms does not mean We waive Our rights.

3.1 合約範圍：

3.2 買家條款不適用：
除本公司書面同意外，閣下之採購單或其他文件所載之條款，不適用於本公司之買賣。
3.3 訂單拒絕與取消：
本公司保留因營運需要，在任何時間拒絕、限制或取消訂單之權利，原因包括但不限於：
• 貨品供應情況：突發性缺貨、原廠停產、生產中斷或供應鏈延遲；
• 標價與描述錯誤：本服務上之貨品出現排版錯誤、規格不符或標價錯誤；
• 交易安全審核：未經授權、欺詐性或未完成核對之交易活動。
3.4 取消訂單之責任限制：
如本公司因貨品供應問題行使取消訂單之權利，本公司之唯一責任僅限於全額退還買家已支付之貨品價款。因使用第三方支付方式而產生之額外費用不予退還（見《付款及退換政策》第 3.4 條）。
4. 產品規格與技術安裝說明
4.1 純貨品供應：
除另有明確書面協議外，本網站售出之所有貨品均為「純貨品買賣（Supply Only）」，價格並不包含現場安裝、技術調控、現場測試或系統除錯服務。
4.2 電力及技術環境要求：
買家有責任自行確保使用現場之電力電壓、插頭規格及配套設備符合產品之工作規範。
4.3 產品圖片參考：
本網站所顯示之產品圖片僅供參考，實際產品包裝、外觀細節或原廠批次微調，均以實物為準。
5. 第三方網站與外部連結
5.1 無控制權：
本公司對本網站所連結之任何第三方網站或原廠資源之內容、私隱政策、產品規格描述或做法，概無控制權，亦不承擔任何責任。
5.2 免責聲明：
閣下同意，對於因使用或信任任何第三方網站提供之內容或服務而造成之損害，本公司概不承擔直接或間接之法律責任。
6. 交收、出貨拍片存證與風險管理
6.1 門市／倉庫自取：
買家可提前預約後親臨本公司香港寫字樓／倉庫自取，並須即場核對貨品外觀及數量。
6.2 出貨前拍片存證：
為保障品質控管，本公司於所有貨品移交予任何承運人前，均會詳細檢查並拍片／拍照記錄貨品完好狀態及封箱過程。該紀錄為本公司完成完美交付責任之最終憑證。
6.3 本地訂單配送與風險移轉：
根據香港《貨品售賣條例》（第 26 章）第 34 條，當貨品交付予任何承運人（包括閣下自行安排之承運人）後，即視為已完成交付，貨品之損毀、遺失或延誤風險隨即轉移予買家。運輸途中之損壞，買家須憑本公司之出貨影片自行向承運人索償。
6.4 送貨資料及延誤：
閣下須提供準確之送貨地址及聯絡資料。因資料錯誤，或承運人、天氣等本公司無法控制之因素引致之延誤，本公司概不負責。
6.5 海外訂單（EXW 條款）：
所有海外交易均以 EXW（香港門市／倉庫交貨）條款處理。海外買家須自行預約國際快遞上門取貨，或要求本公司代送至香港指定集運倉。所有目的地關稅、增值稅及清關費用完全由買家自理。
7. 交貨期與進度調整
7.1 進度調整：
本公司保留對產品交貨期及進度之調整權。原廠生產排期、物流延誤或清關滯留，不構成違約或取消訂單之理由。
7.2 預估交貨期：
預訂、客製化或 OEM 設備之交貨時間僅屬估算性質（時間不構成合約之核心要素）。
7.3 不可抗力：
因天災、颱風、黑色暴雨、火災、水災、意外、暴亂、戰爭、政府措施、禁運、罷工、供應鏈中斷或其他本公司無法合理控制之原因，導致延誤或未能履行義務，本公司毋須負責。貨品供應有限時，本公司可按合理方式分配銷售及交貨數量。
8. 服務責任範圍與保障上限
8.1 賠償上限：
在法律允許的最大範圍內，本公司對任何索賠之累積最大賠償責任，嚴格限制為該爭議商品之實際已付金額。
8.2 商業損失免責：
本公司在任何情況下均不承擔買家之任何間接損失、商業利潤損失、活動取消罰款或營業中斷賠償。
9. 知識產權
本服務上之文字、圖片、標誌及其他內容，屬本公司或其授權人所有。未經本公司書面同意，不得複製、轉載或作商業用途。第三方品牌及商標屬其各自擁有人。
10. 文件之優先次序
如本條款與《付款及退換政策》就付款、退款及換貨事宜有歧異，以《付款及退換政策》為準；就個人資料之處理，以《私隱政策》為準；其他事宜以本條款為準。
11. 條款修訂
本公司保留隨時修訂本條款之權利，毋須另行通知。修訂後之條款於本網站發布時生效。閣下之訂單，以訂單確認時本網站所載之版本為準。本公司未有嚴格執行本條款，不視為放棄其權利。
12. 管轄法律、語文及可分割性
本條款受香港特別行政區法律管轄，並受香港法院之專屬管轄權約束。中英文版本如有歧異，以英文版本為準。如本條款任何條文被裁定無效或不能執行，其餘條文仍然有效。
