TERMS OF SERVICE
1. ACKNOWLEDGMENT
These Terms of Service govern the use of www.neaudio.com.hk and the agreement that operates between You and New Energy Audio & Lighting Limited. These Terms set out the rights and obligations of all users and Buyers regarding the purchase of Goods and use of the Service.
2. DEFINITIONS
  • Carriers refer to third-party shipping, courier, and logistics providers, including but not limited to SF Express, GogoX, Lalamove, DHL, FedEx, UPS, freight drivers, or consolidation warehouse operators.
  • Order means a confirmed request by You to purchase Goods from Us.
3. ORDER ACCEPTANCE & STOCK AVAILABILITY
We reserve the right to review, limit, or cancel Your Order at any time for operational reasons, including but not limited to:
  • Goods Availability: Unexpected stock shortages, factory discontinuations, production halts, or supply chain disruptions.
  • Pricing & Description Errors: Typographical errors, incorrect specifications, or pricing mistakes on the Service.
  • Transaction Security: Unauthorized, fraudulent, or unverified transaction activity.
In the event of order cancellation by the Company due to supply issues, our sole liability shall be strictly limited to a full refund of the actual purchase price paid.
4. PRODUCT SPECIFICATIONS & TECHNICAL INSTALLATION
  • Supply-Only Basis: Unless explicitly agreed in writing, all Goods sold via the Service are on a “supply-only” basis and do not include site installation, technical setup, field testing, or system commissioning.
  • Power & Technical Requirements: The Buyer is solely responsible for ensuring that the site environment, power supply voltage, and technical setup comply with the Goods’ operational specifications.
  • Product Images: Product photos displayed on the Service are for visual reference. Actual packaging, casing details, or batch updates from original manufacturers may vary slightly.
5. THIRD-PARTY WEBSITES & EXTERNAL LINKS
  • No Control: The Company has no control over, and assumes no responsibility for, the content, privacy policies, product specifications, or practices of any third-party websites or manufacturer portals linked on our Service.
  • No Liability: You acknowledge and agree that the Company shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by reliance on third-party content or services.
6. DELIVERY, PRE-SHIPMENT VIDEO & RISK MANAGEMENT
  • Local Pick-Up: You may opt to collect Orders at Our Hong Kong office/warehouse upon advance appointment. Goods must be inspected on-site upon collection.
  • Pre-Shipment Video Evidence: To ensure quality control, the Company inspects and records video/photo proof of all Goods showing flawless physical condition and secure sealing prior to handing over to any Carrier. Such documentation serves as conclusive proof of perfect fulfillment by the Company.
  • Local Delivery & Risk Transfer: Pursuant to Section 34 of the Sale of Goods Ordinance (Cap. 26 of Hong Kong Laws), delivery of Goods to any Carrier constitutes final delivery to the Buyer. All risks of transit loss, physical damage, or delay pass to You immediately upon handover. Transit damage claims must be pursued directly with the Carrier using Our pre-shipment video proof.
  • International Orders (EXW Terms): All international transactions are executed strictly under EXW (Ex Works – Hong Kong Premises) terms. Overseas Buyers must independently arrange international couriers for collection at our premises or request local transfer to a Hong Kong consolidation depot. Import tariffs, VAT/GST, and customs clearance procedures are the sole responsibility of the Buyer.
7. LEAD TIMES & SCHEDULE ADJUSTMENTS
  • Estimated Lead Times: Communicated lead times for pre-ordered, customized, or OEM equipment are non-fixed estimates only (Time is NOT of the essence).
  • Schedule Interpretation: The Company retains the right of schedule adjustment regarding delivery timelines. Factory production delays, shipping disruptions, or customs holds shall not constitute a breach of contract or ground for Order cancellation.
8. LIMIT OF LIABILITY & REMEDIES
  • Liability Cap: To the maximum extent permitted by law, the Company’s total aggregate liability for any claim shall be strictly limited to the actual purchase price paid for the specific Goods.
  • Exclusion of Commercial Losses: Under no circumstances shall the Company be liable for any indirect, incidental, or consequential damages, including loss of business profits, event cancellation fees, rental losses, or operational disruptions.

2. 名詞定義
  • 承運人： 指第三方物流供應商，包括但不限於順豐速運、GogoX、Lalamove、DHL、FedEx、UPS、客貨車司機或集運倉營運商。
  • 訂單： 指閣下向我們發出購買貨品之確認請求。
3. 訂單確認與庫存說明
本公司保留因營運需要，在任何時間拒絕、限制或取消訂單之權利，原因包括但不限於：
  • 貨品供應情況： 突發性缺貨、原廠停產、生產中斷或供應鏈延遲。
  • 標價與描述錯誤： 本服務上之貨品出現排版錯誤、規格不符或標價錯誤。
  • 交易安全審核： 未經授權、欺詐性或未完成核對之交易活動。
如本公司因貨品供應問題行使取消訂單之權利，本公司之唯一責任僅限於全額退還買家已支付之實際金額。
4. 產品規格與技術安裝說明
  • 純貨品供應： 除另有明確書面協議外，本網站售出之所有貨品均為「純貨品買賣（Supply Only）」，價格並不包含現場安裝、技術調控、現場測試或系統除錯服務。
  • 電力及技術環境要求： 買家有責任自行確保使用現場之電力電壓、插頭規格及配套設備符合產品之工作規範。
  • 產品圖片參考： 本網站所顯示之產品圖片僅供參考，實際產品包裝、外觀細節或原廠批次微調，均以實物為準。
5. 第三方網站與外部連結免責聲明
  • 無控制權： 本公司對任何第三方網站或原廠資源之內容、私隱政策或產品規格描述概無控制權，亦不承擔任何責任。
  • 免責聲明： 閣下同意，對於因使用或信任任何第三方網站提供之內容或服務而造成之損害，本公司概不承擔直接或間接之法律責任。
6. 出貨拍片存證與風險管理
  • 門市/倉庫自取： 買家可提前預約後親臨本公司香港寫字樓/倉庫自取，並須即場核對貨品外觀及數量。
  • 出貨前拍片存證： 為保障品質控管，本公司於所有貨品移交予任何承運人前，均會詳細檢查並拍片/拍照記錄貨品完好狀態及封箱過程。該紀錄為本公司完成完美交付責任之最終憑證。
  • 本地訂單配送與風險移轉： 根據香港《貨品售買條例》（第26章）第34條，當貨品交付予任何承運人後，即視為已完成交付，貨品之損毀、遺失或延誤風險隨即轉移予買家。運輸途中之損壞，買家須憑本公司之出貨影片自行向承運人索償。
  • 海外訂單配送 (EXW 條款)： 所有海外交易均以 EXW（香港門市/倉庫交貨）條款處理。海外買家須自行預約國際快遞上門取貨，或要求本公司代送至香港指定集運倉。所有目的地關稅、增值稅及清關費用完全由買家自理。
7. 交貨期與進度調整
  • 預估交貨期： 預訂、客製化或 OEM 設備之交貨時間僅屬估算性質（時間不構成合約之核心要素）。
  • 進度解釋權： 本公司保留對產品交貨期及進度之調整權。原廠生產排期或物流延誤不構成違約或取消訂單之理由。
8. 服務責任範圍與保障上限
  • 賠償上限： 在法律允許的最大範圍內，本公司對任何索賠之累積最大賠償責任，嚴格限制為該爭議商品之實際已付金額。
  • 商業損失免責： 本公司喺任何情況下均不承擔買家之任何間接損失、商業利潤損失、活動取消罰款或營業中斷賠償。
